The following shall constitute any Agreement ("Agreement") on this the ______ day of ____________________, ___________ between ____________________ ("Licensee") and Milestone Mediaworks (“Licensor”) for use of Milestone Hotbeats and grants additional acceptable use for MILESTONE HOTBEATS in addition to those already described in the MILESTONE HOTBEATS ROYALTY FREE MUSIC LICENSE AGREEMENT. This Agreement is documented as BCUL # ---.

Terms and Conditions are as follows:

1. MILESTONE HOTBEATS ROYALTY FREE MUSIC LICENSE AGREEMENT: By accepting this agreement you also agree with all terms outlined in the MILESTONE HOTBEATS ROYALTY FREE MUSIC LICENSE AGREEMENT.

2. ACCEPTABLE USE OF TRACKS : This Addendum grants the Licensee the non-exclusive use of the Track listed in Appendix A in a Commercially Salable Record or Digital Distribution Format song. In addition the Track may be used in Television Broadcast, Radio Advertisement, Commercial Advertisement, Internet Background Music, On-Hold & In-House Background Music, and/or Film Soundtracks, and the like. The Track can only be used so long as ADDITIONAL AUDIO AND VOCAL PERFORMANCES are recorded against and with track. In addition, for Multimedia applications, the license grants the Licensee non-exclusive right to use Tracks so long as is it combined with ADDITIONAL VIDEO compositions. In both cases this is herein known as "synchronization".

In addition the Licence may only use the Milestone Hotbeats track in a single project or commercial venture. The Licensee must purchase additional licenses for use in additional projects or commercial venture.

Any other use of Tracks not explicitly listed in this clause or those listed in the MILESTONE HOTBEATS ROYALTY FREE MUSIC LICENCE AGREEMENT is explicitly forbidden.

3. DEFINITIONS:

(a) " Record " shall mean and include without limitation all forms of recording and record reproduction by which sound may be fixed, embodied, or recorded by any method now known or later developed, for any and all public or commercial uses including magnetic recording tape, compact disc (CD), digital video disk (DVD), laser disc, film, electronic video tapes or recordings, and any other medium or device now known or later developed.

(b) “Digital Distribution Format” includes all types of distribution where the song is distributed through purely electronic means. This includes, but is not limited to, any type of Internet distribution including Website's and FTP, BBS distribution, or Email distribution. There is no distinction made for the particular file type used for the distribution. Distribution will also include the distribution of songs for use as Ring Tones.

The effective date of this Agreement shall be the date first written above.
